Job Title: Company Secretary
Role Purpose
The Company Secretary will provide end‑to‑end corporate governance, statutory compliance, and board‑support services for the company’s Indian entities. The role ensures that all corporate records, filings, and governance processes meet applicable legal, regulatory, and internal standards. The position requires strong organisational skills, attention to detail, and the ability to work closely with senior leadership across Legal, Finance, HR, and Operations.
Key Responsibilities
Corporate Governance & Board Support
· Manage board and committee meetings, including scheduling, agenda preparation, circulation of papers, and minute‑taking.
· Maintain statutory registers, corporate records, and entity‑level documentation in accordance with the Companies Act and internal governance frameworks.
· Ensure timely execution, notarisation, apostille, and safe custody of corporate documents.
· Support directors with governance queries, declarations, and compliance requirements.
Statutory & Regulatory Compliance
· Prepare and file statutory returns with the Registrar of Companies and other authorities (MCA, RBI, etc.).
· Monitor regulatory changes and ensure the company remains compliant with all applicable laws.
· Coordinate annual filings, board resolutions, shareholder resolutions, and event‑based filings.
· Liaise with external regulators, auditors, and advisors as required.
Entity Management & Corporate Actions
· Maintain the corporate database and ensure entity information is accurate and up to date.
· Support incorporations, amendments, director appointments/removals, share transfers, and other corporate actions.
· Draft and review board resolutions, powers of attorney, and governance documents.
Internal Coordination & Support
· Work closely with Legal, Finance, HR, and Operations to ensure governance requirements are embedded in business processes.
· Support internal audits, compliance reviews, and group governance initiatives.
· Provide guidance to internal stakeholders on governance standards and statutory obligations.
Skills & Experience
· Qualified Company Secretary (ICSI) with 3–7 years of post‑qualification experience.
· Strong knowledge of the Companies Act, MCA processes, and corporate governance best practices.
· Experience managing multiple entities within a group structure is preferred.
· Excellent drafting, minute‑taking, and organisational skills.
· Ability to work independently, manage deadlines, and interact confidently with senior stakeholders.
· High level of integrity, discretion, and professionalism.
